• OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO JCYPHER IN THE 12 MONTHS PRECEDING THE CLAIM (OR $100, WHICHEVER IS GREATER).
• SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

OUR SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:

• Prices are in USD unless otherwise stated.
• Payment is non-refundable except as required by law.
• Invoices are due within 30 days of issuance unless otherwise agreed.
• Late payments may incur a 1.5% monthly interest charge.
• We reserve the right to suspend Services for non-payment.
• All applicable taxes are your responsibility unless you provide a valid tax exemption certificate.

11. Confidentiality

Any information you mark as "Confidential" and that is not publicly available will be treated as confidential by JCypher. We will protect such information using the same degree of care we use to protect our own confidential information, but not less than reasonable care. However, we may disclose confidential information if:

• Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association (AAA), held in San Francisco, California.
• Exceptions: Intellectual property and confidentiality disputes may be brought in court instead of arbitration.
• Class Action Waiver: You agree to arbitrate disputes on an individual basis and waive your right to participate in class actions or class arbitrations.
